Terms of Service

1. Account Registration

• You must provide accurate, complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 13 years old (or 16 in the European Economic Area) to use the Service.
• One person or entity per account. Account sharing is not permitted.
• You are responsible for all activity that occurs under your account.

2. Service Description

ZenBuild provides:

• A drag-and-drop form builder with submission management.
• PDF tools including creation, editing, annotation, conversion, merging, splitting, compression, watermarking, and encryption.
• Electronic signature capture for forms and PDF documents.
• A template marketplace for discovering and sharing form templates.
• Integrations with third-party services (Google Sheets, Slack, Discord, and others).
• A public REST API for programmatic access.
• Embeddable form widgets for external websites.

3. Plans and Billing

Subscription Plans

• Starter: Limited access to forms and PDF tools as described on our pricing page.
• Plus: Expanded form and PDF limits with webhooks and save & resume.
• Pro: Full access to forms, PDF tools, integrations, and e-signatures.
• Business: Everything in Pro plus team collaboration, custom domains, and batch operations.

Billing Terms

• Paid plans are billed monthly or annually via Stripe.
• Annual plans are billed upfront for the full year at a discounted rate.
• Founding member pricing, where applicable, remains locked at the discounted rate for the lifetime of the continuous subscription.
• All prices are in US dollars unless otherwise stated.

Cancellation and Refunds

• You may cancel your subscription at any time through the Stripe Customer Portal in your account settings.
• Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.
• We do not provide prorated refunds for partial billing periods.
• Annual subscriptions are non-refundable after 14 days from the date of purchase.

Plan Limits

• Each plan has specific limits on forms, submissions, storage, file sizes, and feature access as described on our pricing page.
• Exceeding plan limits may result in restricted access to certain features until you upgrade or the next billing cycle begins.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Collect personal data without appropriate consent or legal basis.
• Distribute malware, phishing forms, or fraudulent content.
• Send spam or unsolicited communications through forms or integrations.
• Attempt to gain unauthorized access to other users’ accounts, data, or our infrastructure.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means to scrape, crawl, or extract data from the Service (except via our public API within rate limits).
• Interfere with or disrupt the Service or impose an unreasonable load on our infrastructure.
• Create forms that collect information from minors without parental consent.
• Host content that is illegal, defamatory, obscene, or that infringes on intellectual property rights.

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Your Content

Ownership

You retain full ownership of all content you create, upload, or collect through the Service, including form schemas, submission data, PDF documents, templates, and signatures.

License to Us

By using the Service, you grant us a limited, non-exclusive license to host, store, process, and transmit your content solely to provide the Service. This license ends when you delete your content or your account.

Template Marketplace

If you submit a template to the marketplace, you grant us a non-exclusive, royalty-free license to display, distribute, and allow other users to clone and use that template. You retain ownership of the original template and can withdraw it from the marketplace at any time.

Responsibility for Content

You are solely responsible for the content you create and the data you collect. We do not monitor or review the content of your forms or submissions, except as required to enforce these Terms or comply with legal obligations.

6. Electronic Signatures

• ZenBuild provides electronic signature capture as a convenience feature. Signatures captured through ZenBuild are electronic signatures, not PKI-based digital signatures.
• We are not a certificate authority and do not provide legally binding digital signature certification.
• The legal validity and enforceability of electronic signatures varies by jurisdiction. You are responsible for determining whether electronic signatures meet the legal requirements for your use case.
• We provide audit trail metadata (signer identity, timestamp, IP address, document hash) to support the integrity of signed documents, but we do not guarantee legal enforceability.

7. Third-Party Integrations

• The Service integrates with third-party services (Google, Stripe, Slack, Discord, and others). Your use of these integrations is also subject to the respective third party’s terms of service and privacy policy.
• We are not responsible for the availability, accuracy, or reliability of third-party services.
• You authorize us to transmit your data to third-party services when you enable integrations.

8. API Usage

• Access to the public REST API requires a paid plan and an API key.
• API usage is subject to rate limits as documented in our API documentation.
• You are responsible for securing your API keys. Do not share or expose them in client-side code or public repositories.
• We reserve the right to revoke API keys or restrict API access for accounts that abuse rate limits or violate these Terms.

9. Embeddable Forms

• You may embed ZenBuild forms on external websites using our provided embed code.
• Free-tier embedded forms display a "Powered by ZenBuild" badge. Removing or hiding this badge without upgrading to a paid plan is a violation of these Terms.
• You are responsible for ensuring that embedded forms comply with applicable laws on the websites where they are embedded.

10. Availability and Support

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
• We may perform maintenance that temporarily affects availability. We will provide advance notice when practical.
• Support is provided via email on a reasonable-efforts basis. Response times are not guaranteed.

11. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.
• We are not liable for loss of data, loss of revenue, or damages resulting from unauthorized access to your account.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of any third party’s rights.

13. Termination

• You may delete your account at any time from your account settings.
• We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay for a paid plan.
• Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account termination, except where retention is required by law or for legitimate business purposes (such as resolving disputes or enforcing our Terms).

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Wisconsin.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
